This agreement ("Agreement") is a contract between you and Vidoo ("Service", "us" "our" and "we") and governs your use of the Vidoo mobile application and website services (the "Service"). By using the Services, you agree to be bound by the following Terms of Service (the "Terms of Service"), whether or not you register as a member ("Member"). We may modify this Agreement occasionally, and such modification shall be effective upon posting by us on the mobile application and website. We may update you on our changes through your email or notify you through the mobile app or website. You agree to be bound by any changes to this Agreement when you use the Service after any such modification is posted. This Agreement includes Service’s policy for acceptable use and content posted on the mobile application and website, your rights, obligations, and restrictions regarding your use of the mobile application and website.
If you are under the age of 18, you may not download or use our Services. We do not knowingly collect or maintain information from children under age 18. If you are under the age of 18, you must get your parent or guardian to read and agree to our Terms of Service and Privacy Policy. Please, choose carefully the information you post on our Services and the information you provide to other Members. Your Service profile may not include the following items: nude, violent or offensive images or texts. The information posted by other Service Members may contain inaccurate, inappropriate or offensive materials, products or services and Service assumes no responsibility or liability for this material.
We reserve the right, in its sole discretion, to reject, refuse to post or remove any posts (including email) by you, or to restrict, suspend, or terminate your access to all or any part of the mobile application and website and/or Services at any time, for any or no reason, with or without prior notice, and without liability.
This paragraph is intended to apply to you if you have downloaded the Software from the app marketplaces such as the Google Play. Vidoo and you acknowledge that this Terms of Use is concluded between Vidoo and you only, and not with the app marketplaces, and as between Vidoo and the marketplaces, Vidoo, not the marketplaces, is solely responsible for the Software and Services and the content thereof. This Terms of Use is not intended to provide for usage rules for the Software and Services that are less restrictive than the Usage Rules set forth for Licensed Applications in, or otherwise be in conflict with, the Terms of Service of the app marketplaces as of the date hereof (which you further acknowledge you have had the opportunity to review).
The Software is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The Software includes trade secrets and information that is confidential and proprietary to Vidoo and you agree to take all necessary actions to protect the confidentiality of such information. All ownership rights in the Software and Services, including any related documentation and any new releases, modifications, and enhancements thereto belong solely to Vidoo and its licensors, if any, including all intellectual property rights therein. The Software is licensed, not sold. Title does not pass to you. There is no implied license, right or interest granted in any copyright, patent, trade secret, trademark, invention or other intellectual property right. Vidoo hereby expressly reserves all rights in the Software and all Services which are not expressly granted to you hereunder.
We allow users to distribute pre-recorded audio-visual works, to use Vidoo Services, such as chat, bulletin boards, forum postings, voice interactive services, and to participate in other activities in which you may create, post, transmit, perform, or store content, messages, text, sound, images, applications, code or other data or materials on the Vidoo Services (“User Generated Content/UGC”).
Unless otherwise agreed to in a written agreement between you and Vidoo that was signed by an authorized representative of Vidoo, by publishing, posting, displaying, submitting, and/or uploading any of its UGC in connection with the Vidoo Services, you grant to Vidoo and its sub-licensees the permission, free, permanent, irrevocable, non-exclusive and fully sub-licensable rights and license, without any territorial or time limitations and without requiring any approvals and/or compensations, to use, copy, modify, adapt, publish, translate, edit, dispose of, create derivate works of, distribute, perform and publicly display such UGC (in whole or in part), and/or incorporate such UGC into existing or future forms of work, media or technology.
With respect to UGC, the rights granted by you terminate once you delete such UGC from Vidoo Services, or generally by closing your account, except (a) we used it for promotional purposes; and (b) for the reasonable time it takes to remove from backup and other systems.
You shall be solely responsible for your UGC and the consequences of posting, uploading, publishing, transmitting, or otherwise making available your UGC on the Vidoo Services. You understand and acknowledge that you are responsible for any UGC you submit or contribute, and you, not us, have full responsibility for such UGC, including its legality, reliability, accuracy and appropriateness. We are not responsible, or liable to any third party, for the content or accuracy of any UGC made available by you or any other user of Vidoo Service. We do not control UGC you provide or contribute and we do not make any guarantee whatsoever related to UGC submitted or contributed by users. Although we sometimes review UGC provided or contributed by users, we are not obligated to do so. Under no circumstances will we be liable or responsible in any way for any claim related to UGC provided or contributed by users.
You further agree that UGC you provide to the Vidoo Services will not contain third party copyrighted material, or material that is subject to other third party proprietary rights, unless you have permission from the rightful owner of the material or you are otherwise legally entitled to provide the material and to grant to the Vidoo Services all of the license rights granted herein.
Vidoo Services do not endorse any UGC on it by any user or other licensor, or any opinion, recommendation, or advice expressed therein, and the Vidoo Services expressly disclaims any and all liability in connection with UGC.

We may authorize you to register and log in to the Account

We may authorize you to register and log in to the Vidoo Services through designated third-party platforms. The collection, utilization, and disclosure of your information by such third-party services are subject to the privacy policy of the respective third party. Comprehensive details regarding how Vidoo gathers, employs, and discloses your personal information when linking your Vidoo account with any third-party service are available in our Privacy Policy.
We retain the right to deactivate your user account at our discretion, including instances where non-compliance with these terms is evident, or if activities on your account are deemed by us to potentially cause harm to or impair the Vidoo Services, infringe upon or violate any third-party rights, or contravene any applicable laws or regulations.
Should you opt to discontinue the use of our Services and desire the deletion of your account, we are ready to assist. Please contact us at contact@vidoo.fun, and we will guide you through the necessary steps. Once you decide to delete your account, reactivation or retrieval of any added content or information will be impossible.
You only obtain a license to use the object code version of the Software. You shall not (i) copy, modify, adapt, translate into any language, distribute, or create derivative works based on the Software or any of the Services; (ii) sublicense, sublease, lease, lend, assign, sell, license, distribute, rent, export, re-export or grant other rights in the Software or Service and any attempt by you to take such action shall be void; (iii) decompile, disassemble, reverse engineer, or attempt to reconstruct, identify, or discover any source code, underlying ideas, underlying user interface techniques, or algorithms of the Software or any of the Services by any means whatsoever; (iv) remove, obscure or alter any copyright and/or other proprietary notices contained on or in or otherwise connected to the Software or any of the Services; (v) use the Software or any of the Services to create or proliferate a virus or to circumvent any copy protection or other digital rights management mechanism.
You further represent that you shall not (i) use the Software or any of the Services for any illegal or unauthorized purpose, (ii) use the Software or any of the Services in any manner which could damage, disable, overburden or impair any of the Services, (iii) transmit worms, viruses or any code of a destructive nature, (iv) display, transmit or share any content consisting of text, sounds, audio, pictures, photos, video and/or any type of materials, information or communications (“Content”) deemed hateful, threatening, pornographic, obscene, abusive, racially or ethnically offensive, libelous or defamatory, or any Content that encourages conduct that would be considered a criminal offense or bring forth civil liability, (v) attempt to hack, destabilize or adapt Vidoo's website, the Software (or its source code) or any of the Services, or alter another website so as to falsely imply that it is affiliated with Vidoo, or (vi) use or access any of the Services by any means other than through the interface provided by Vidoo.
Vidoo makes available paid Services. Vidoo does not receive or process payments or credit card information directly. You may purchase Paid Services through an App Store or Google Play account(a " Third Party Account "). If you purchase any Paid Services through the Third Party Account, the Fees for these Paid Services will appear through your Third Party Account. Please note that Vidoo does not control Third Party Account terms and conditions so please review these carefully.
Any and all payments made to Vidoo for use and access to the Services are final and all charges are nonrefundable.
We are always striving to improve the Services and bring you the additional functionality that you will find useful. This means we may add new product features or enhancements from time to time as well as remove some features, and if these actions do not materially affect your rights or obligations, we may not provide you with notice before taking them. We may even suspend the Services entirely, in which event we will notify you in advance unless extenuating circumstances, such as safety or security concerns, prevent us from doing so. You may terminate your account at any time, for any reason. We may terminate your account at any time without notice if we believe that you have violated this Agreement.
Membership in the Service is void where prohibited. By using the mobile application and website and the Service, you represent and warrant that all registration information you submit is truthful and accurate. You represent and warrant that you are 18 years of age or older and that your use of the Service shall not violate any applicable laws or regulations. Your profile may be deleted without warning if it is found that you are misrepresenting your age. Your Membership is solely for your personal use, and you shall not authorize others to use your account, including your profile or email address. You are solely responsible for all Content published or displayed through your account, including any email messages, and for your interactions with other members.
You use Vidoo at your sole risk. We do not guarantee that our Services will always be safe, secure or error-free or that our Services will always function without disruptions, delays or imperfections. We make no warranty that our Services will meet your requirements, or Vidoo will be uninterrupted, timely, secure and error-free. We make no warranty that the results obtained from us will be accurate or reliable. We make no warranty that the quality of products, Services, information, material or purchased features obtained through our Services will meet your expectations. Any downloaded or obtained material through our Services is done at your own risk. You will be solely responsible for any damage to your or others' devices directly or indirectly from the download of any such material. Some jurisdiction does not allow the exclusion of such warranties or the limitation or the exclusion of liability for incidental or consequential damages. Some of the limitations of the warranty may not apply to you. In such cases, the warranties and liability will be limited to the fullest extent permitted by applicable law.
This Agreement constitutes the entire agreement of agreed items and other relevant matters between both parties. Other than as stipulated by this Agreement, no other rights are vested in either Party to this Agreement.
If any provision of this Agreement is rendered void or unenforceable by competent authorities, in whole or in part, for any reason, the remaining provisions of this Agreement shall remain valid and binding.
The headings within this Agreement have been set for the sake of convenience, and shall be disregarded in the interpretation of this Agreement.
